Abstract

The article explores the conceptual changes in corporate law proposed in the draft of the new Civil Code of the Republic of Uzbekistan. Based on the Concept approved by the Presidential decree in 2019, the article examines provisions in the new Civil Code draft related to optimizing the legal forms of entities, introducing corporate contracts, directors’ fiduciary duties, charter capital, and regulating business partnerships. Additionally, it provides reasoned recommendations for addressing existing issues. The topic’s relevance is defined by the need to improve the legal framework for corporate law reforms.
